1. IntroductionWelcome to SIGNIFICANT MEDIA.
These Terms & Conditions govern access to and use of the services, communications, digital services, design services, business communication facilities, websites, applications, forms, messaging channels and related services made available by SIGNIFICANT MEDIA (“SIGNIFICANT MEDIA”, “we”, “us”, or “our”).SIGNIFICANT MEDIA is a proprietorship engaged in providing graphic design and related creative services. Depending upon the services requested by a customer, SIGNIFICANT MEDIA may communicate with customers through telephone, email, WhatsApp, RCS or other permitted digital communication channels.These Terms are intended to establish a clear understanding between SIGNIFICANT MEDIA and its customers regarding services, communication, payments, intellectual property, acceptable use, confidentiality, limitations of liability and other important matters.By accessing our website, submitting an enquiry, communicating with SIGNIFICANT MEDIA, requesting services, placing an order, making a payment, or otherwise using our services, you acknowledge that you have read and understood these Terms and agree to be bound by them to the extent permitted by applicable law.If you do not agree with these Terms, please do not use our services.

2. DefinitionsFor purposes of these Terms:“Business”, “SIGNIFICANT MEDIA”, “we”, “us”, or “our” means SIGNIFICANT MEDIA, a proprietorship operating from Ahilyanagar, Maharashtra, India.“Customer”, “you”, or “your” means any individual, business, organisation or other person who accesses our services, submits an enquiry, requests a quotation, purchases a service or communicates with us.“Services” means graphic design and related creative or digital services offered by SIGNIFICANT MEDIA.“Deliverables” means the design files, artwork, graphics, concepts, layouts, images, documents or other materials specifically agreed to be supplied to the customer.“Content” means text, photographs, logos, trademarks, documents, images, videos, brand assets, information or other material supplied by a customer.“Third-Party Services” means services, platforms, communication networks, payment providers, hosting providers, messaging platforms, software providers or other third-party systems used in connection with our operations.“WhatsApp Services” means WhatsApp Business-related communication or messaging services used by SIGNIFICANT MEDIA where applicable.“RCS” means Rich Communication Services and related business messaging services used to communicate with customers where supported.

3. Acceptance of TermsBy using SIGNIFICANT MEDIA services, you confirm that:You have the legal capacity required to enter into an agreement under applicable law.The information supplied by you is accurate and not misleading.You will use our services only for lawful purposes.You will comply with these Terms and applicable laws.You will not misuse our website, communication channels, designs, systems or services.If you are using our services on behalf of a company, organisation or other entity, you represent that you have appropriate authority to act on its behalf.Certain services may be subject to additional quotations, project specifications, invoices, order confirmations or written agreements. Where such additional terms conflict with these Terms, the specific written agreement may prevail to the extent of that conflict.

4. Description of ServicesSIGNIFICANT MEDIA provides graphic design and related creative services.The exact scope of a project may vary according to the customer’s requirements and may include, where agreed:Graphic design;Branding and visual identity work;Digital creatives;Social media creatives;Promotional graphics;Marketing design materials;Logo or artwork-related services;Layout and visual communication work;Digital artwork;Other creative design services agreed between SIGNIFICANT MEDIA and the customer.The precise deliverables, number of concepts, revisions, timelines, file formats and pricing may depend on the individual quotation or project agreement.A quotation or discussion does not necessarily constitute acceptance of an order unless SIGNIFICANT MEDIA confirms the engagement.We may decline a project where the requested work is unlawful, misleading, infringing, abusive, unsafe, prohibited by a third-party platform, or inconsistent with our business policies.

5. EligibilityOur services are intended for individuals and organisations capable of entering legally enforceable arrangements under applicable law.Where a customer is below the legally applicable age for independently entering into a particular transaction, the customer should use the service only with the involvement and consent of a parent, guardian or authorised representative where required by law.SIGNIFICANT MEDIA does not knowingly seek unnecessary personal information from children for independent commercial transactions.

6. Account RegistrationIf SIGNIFICANT MEDIA provides an account, customer portal, enquiry account or similar facility, you may be required to provide accurate information.You are responsible for maintaining the confidentiality of login credentials and for activities conducted through your account, subject to applicable law.You must promptly notify SIGNIFICANT MEDIA if you believe that your account or credentials have been compromised.We reserve the right to suspend or restrict access where reasonably necessary to protect our systems, customers, third parties or the integrity of our services.

7. User ResponsibilitiesCustomers are responsible for information and materials supplied to SIGNIFICANT MEDIA.You agree that you will not submit or request content that:Violates applicable Indian law;Infringes another person’s intellectual property rights;Contains unlawful threats, fraud or impersonation;Is intended to deceive consumers;Violates applicable advertising or consumer-protection requirements;Contains malicious software or harmful code;Abuses our communication channels;Attempts to interfere with our systems;Uses personal information without appropriate authority or permission.Where a customer supplies photographs, trademarks, logos, fonts, artwork or other third-party materials, the customer is responsible for ensuring that SIGNIFICANT MEDIA has the necessary permission to use them for the requested project.

8. Payment & Billing TermsPrices for services will be communicated through a quotation, invoice, written proposal, order confirmation or other agreed commercial communication.Unless otherwise agreed in writing, work may commence only after any applicable advance payment or confirmation requirement has been satisfied.Customers are responsible for providing accurate billing information and making payments by the agreed due date.Where taxes are legally applicable, they may be charged in addition to the stated service price unless the quotation expressly states otherwise.SIGNIFICANT MEDIA may pause work or withhold final delivery where an undisputed payment remains overdue.Any payment gateway, banking facility or third-party payment service may have its own terms and processing requirements.Where a customer disputes an invoice, the customer should contact SIGNIFICANT MEDIA promptly and provide reasonable details concerning the dispute.

9. Subscription Renewal & TerminationSIGNIFICANT MEDIA does not automatically assume that every customer engagement is a subscription.Where SIGNIFICANT MEDIA offers a recurring service or subscription in the future, the applicable quotation, subscription plan or written agreement will specify the billing cycle, renewal mechanism, cancellation requirements, applicable charges and termination conditions.Unless expressly agreed otherwise, customers should not assume that a service will automatically renew.Either party may request termination of an ongoing engagement subject to the applicable project agreement and applicable law.Termination will not automatically cancel payment obligations that have already become due.

10. Use of WhatsApp Official API & RCSSIGNIFICANT MEDIA may use approved business communication channels, including WhatsApp Business services and RCS for Business, where such services are available and appropriate.These channels may be used for legitimate business communications such as:Responding to enquiries;Customer support;Service-related communications;Quotation or project updates;Order or delivery notifications;Appointment or meeting reminders;Transactional communications;Other communications for which the customer has appropriately interacted with or consented to receive communications.Use of WhatsApp and RCS is subject to the applicable rules, terms, technical requirements, messaging policies and enforcement mechanisms of the relevant platform, operator, carrier or service provider.SIGNIFICANT MEDIA does not control the independent operation, availability, delivery infrastructure, filtering systems or policy decisions of Meta, WhatsApp, Google, mobile network operators or other third parties.Customers must not use our messaging facilities for unlawful, deceptive, abusive, fraudulent or prohibited communications.

11. Message Delivery & Compliance PolicySIGNIFICANT MEDIA aims to send communications accurately and through appropriate channels. However, delivery of a message cannot always be guaranteed.Messages may be delayed, filtered, rejected, modified, rate-limited or undelivered because of:Network conditions;Recipient device availability;Carrier restrictions;Platform policies;Spam or abuse detection;User blocking or opt-out;Incorrect contact information;Technical outages;Regulatory requirements;Platform changes;Other circumstances outside SIGNIFICANT MEDIA’s reasonable control.SIGNIFICANT MEDIA will not knowingly use WhatsApp or RCS to circumvent platform safeguards.Where a customer has opted out of a particular category of communication, SIGNIFICANT MEDIA will take reasonable steps to respect that preference, subject to communications that may still be required for legitimate transactional, legal, security or service purposes.Platform policies may change from time to time. SIGNIFICANT MEDIA may modify its messaging practices to maintain compliance.

12. Intellectual Property RightsSIGNIFICANT MEDIA retains ownership of its pre-existing intellectual property, including original concepts, templates, processes, working methods, know-how, reusable design systems and materials developed independently of a specific customer project.Unless otherwise agreed in writing, payment for a completed project does not automatically transfer every intellectual property right in all underlying tools, concepts, drafts or unused creative material.The customer’s existing trademarks, logos, photographs, text and other materials remain the customer’s property or the property of their respective owners.Rights in final deliverables will be determined by the applicable quotation, project agreement or written arrangement.SIGNIFICANT MEDIA may retain appropriate records of completed work for portfolio, archival or business purposes where lawful and where doing so does not violate a separate confidentiality agreement.

13. ConfidentialitySIGNIFICANT MEDIA will treat confidential customer information with reasonable care.Confidential information may include non-public business information, marketing plans, unpublished designs, commercial information, credentials and project information that is clearly confidential by its nature or identified as confidential.Confidentiality obligations do not apply to information that:Is already publicly available;Becomes public without breach of these Terms;Was lawfully known before disclosure;Is independently developed;Must be disclosed under applicable law or a lawful government or judicial requirement.Where disclosure is legally required, SIGNIFICANT MEDIA may disclose the minimum information reasonably necessary to comply with that requirement, subject to applicable law.

14. Disclaimer of WarrantiesTo the extent permitted by applicable law, SIGNIFICANT MEDIA provides services on the basis of the agreed project scope and does not guarantee that every design, campaign, creative asset, communication or business result will achieve a particular commercial outcome.Graphic design services are creative services. Customer satisfaction may depend on subjective preferences, branding requirements, market conditions and the customer’s own use of the deliverables.We do not warrant that third-party platforms, WhatsApp, RCS, telecommunications networks, payment systems or other external services will remain continuously available or error-free.Nothing in these Terms excludes a warranty, condition, right or remedy that cannot lawfully be excluded under Indian law.

15. Limitation of LiabilityTo the maximum extent permitted by applicable law, SIGNIFICANT MEDIA will not be responsible for indirect, incidental, special or consequential losses arising from the use of our services where such limitation is legally permitted.This may include loss of anticipated profits, business opportunities, goodwill or indirect commercial loss, subject to applicable law.SIGNIFICANT MEDIA’s liability, where legally established, will be determined having regard to the nature of the service, applicable agreement, actual loss and mandatory legal protections.Nothing in these Terms is intended to exclude liability that cannot legally be excluded or restricted under Indian law, including liability arising from matters for which limitation is prohibited by law.

16. IndemnificationTo the extent permitted by law, you agree to reasonably indemnify and hold SIGNIFICANT MEDIA harmless from third-party claims, losses, liabilities, damages and reasonable expenses arising from your:Unlawful use of our services;Breach of these Terms;Unauthorised use of third-party intellectual property;Unauthorised submission of personal information;Misuse of communication services;Violation of applicable law or third-party rights.This provision does not require you to indemnify SIGNIFICANT MEDIA for losses caused by SIGNIFICANT MEDIA’s own unlawful conduct or liability that cannot legally be transferred.

17. Governing Law — IndiaThese Terms are governed by the laws applicable in India.Subject to mandatory statutory rights and applicable jurisdictional requirements, disputes relating to these Terms or SIGNIFICANT MEDIA’s services shall be subject to the jurisdiction of competent courts having jurisdiction over the relevant location in Maharashtra, India.Nothing in this clause prevents a consumer from exercising any mandatory rights available under applicable consumer-protection or other Indian law.

18. Changes to TermsSIGNIFICANT MEDIA may update these Terms from time to time to reflect changes in services, technology, applicable law, business practices or third-party platform requirements.The updated version will become effective from the date stated on the revised Terms unless otherwise required by law.Customers are encouraged to review the Terms periodically.Continued use of the services after an updated version becomes effective may constitute acceptance of the revised Terms to the extent permitted by applicable law.19. SeverabilityIf any provision of these Terms is determined by a competent authority to be unlawful, invalid or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally possible.The remaining provisions will continue to operate to the extent permitted by law.

20. Entire AgreementThese Terms, together with any applicable quotation, invoice, project agreement, order confirmation or other written agreement between SIGNIFICANT MEDIA and the customer, constitute the understanding governing the relevant service.No provision is intended to override mandatory rights or protections provided by applicable Indian law.
